Ameris Bancorp Announces Acquisition of Satilla Community Bank

PRNewswire -- AMERIS BANCORP (Nasdaq-GS: ABCB), announced May 14 that its wholly-owned subsidiary, Ameris Bank, has entered into a definitive agreement with the Federal Deposit Insurance Corporation to assume the deposits and acquire certain assets of Satilla Community Bank, a full-service, single-office bank located in St. Marys, Georgia. The Georgia Department of Banking and Finance declared Satilla Community Bank closed May 14 and appointed the FDIC as receiver. As a result of this acquisition, Ameris Bank will assume approximately $134.0 million in total deposits and acquire approximately $142.3 million in total assets.

As a branch of Ameris Bank, the St. Marys office of Satilla will be open and serving customers on Monday, May 17, 2010, during the bank's normal business hours. Satilla depositors will automatically become depositors of Ameris Bank, and deposits will continue to be insured by the FDIC. With this acquisition, Ameris Bank will now operate 54 locations in Georgia, Florida, Alabama and South Carolina.

Ameris Bancorp Announces Acquisition of American United Bank

/PRNewswire/ -- AMERIS BANCORP (NASDAQ: ABCB) , announced today (October 23) that its wholly-owned banking subsidiary, Ameris Bank, has entered into a definitive agreement with the Federal Deposit Insurance Corporation (the "FDIC") to assume all of the deposits and acquire certain assets of American United Bank, a full service, single office bank located in Lawrenceville, Georgia. The Georgia Department of Banking and Finance today (October 23) declared American United Bank closed and appointed the FDIC as receiver.

As a branch of Ameris Bank, the Lawrenceville location will be open and serving customers on Monday, October 26, 2009, during the bank's normal business hours. American United Bank depositors will automatically become depositors of Ameris Bank, and deposits will continue to be insured by the FDIC. With this acquisition, Ameris Bank will now operate 51 locations in Georgia, Florida, Alabama and South Carolina.

The loans being purchased are covered by a loss share agreement which affords Ameris Bank significant loss protection for the next five years.

Ameris Bancorp Reports Results for Third Quarter of 2008

/PRNewswire-FirstCall/ -- AMERIS BANCORP (NASDAQ: ABCB) , reported net income of $366,000, or $0.03 per share, for the quarter ended September 30, 2008, compared to net income for the same quarter in 2007 of $3.6 million, or $0.26 per share. Net income for the year-to-date period totaled $6.5 million, or $0.48 per share, compared to $14.0 million, or $1.02 per share for the same period in 2007. Unusually high levels of loan loss provision have been required as several of the Company's markets have been adversely affected by increasingly negative economic trends.

Provision for Loan Losses and Credit Quality

The Company's provision for loan losses during the third quarter amounted to $8.2 million, an increase of $5.2 million over the $3.0 million recorded in the third quarter of 2007. Similarly, provision for loan losses for the year- to-date period increased $10.7 million to $15.1 million for the first nine months of 2008, compared to 2007.

Non-performing assets increased during the current quarter to 2.52% of total loans, compared to 2.09% for the second quarter of 2008 and 1.57% at December 31, 2007. Net charge-offs on loans during the third quarter of 2008 increased to $6.7 million, compared to $3.2 million in the second quarter of 2008 and $1.6 million in the same quarter of 2007.

The Company's credit quality has declined as real estate activity and valuations continue to fall. Construction and development loans account for approximately 61% and 59% of the net charge-offs in the current quarter and year-to-date periods ended September 30, 2008, respectively. In addition to losses in the construction and development portfolio, residential real estate loans account for approximately 14% and 19% of the net charge-offs in the current quarter and year-to-date periods ended September 30, 2008, respectively. Construction and development loans account for approximately 21.1% and 24.7% of total loans for the period ended September 30, 2008 and September 30, 2007, respectively, while residential real estate loans account for approximately 20.3% and 19.2% of total loans during that same time period.

Trends in Net Interest Income and Net Interest Margin

Total net interest income of $19.2 million for the third quarter of 2008 represented only a slight increase over the $19.1 million recorded in the third quarter of 2007. Similarly, the year-to-date period reflected small increases in total net interest income, increasing 1.5% to $56.7 million. Lower levels of growth in net interest income were the result of modest levels of loan growth combined with declining overall margins.

The Company's net interest margin declined in the current quarter to 3.87%, compared to 4.03% in the same quarter in 2007. For the year-to-date period ended September 30, 2008, the Company reported a decline in the net interest margin to 3.92% from 4.05% in the same period in 2007. Increases in non-performing assets of $21.2 million from September 30, 2007, to September 30, 2008, accounted for 44% of the decline in net interest margin.

Yields on earning assets declined to 6.38% in the current quarter, from 7.87% in the same quarter in 2007. This decline in overall yields resulted primarily from changes in loan yields, which fell from 8.48% during the third quarter of 2007 to 6.67% during the third quarter of 2008. Decreases in interest income on loans were partially offset by increases in investment securities, the yields on which increased to 5.06% for the third quarter of 2008, compared to 4.96% in the third quarter of 2007.

Funding costs also offset some of the declines in earning asset yields. Total funding costs declined to 2.54% in the third quarter of 2008, compared to 3.90% in the same quarter of 2007. Declines in the yields on time deposits accounted for most of the decline in funding costs, falling to 3.79% in the current quarter, compared to 5.08% in the third quarter of 2007. The cost of non-deposit borrowing fell significantly to 2.09% in the third quarter of 2008, from 5.78% in the third quarter of 2007. The majority of the Company's non-deposit borrowings are LIBOR-based and have benefited materially from both declining rates and interest rate floors tied to the Company's borrowings from the FHLB.

Non-Interest Income

Total non-interest income remained virtually unchanged during the third quarter at $4.6 million when compared to the third quarter of 2007. Increases in service charges on deposit accounts to $3.7 million offset smaller declines in the other non-interest income categories, including mortgage banking activities. Increases in charges and fees have allowed the Company to experience better than average growth in fee income while slower activity in residential real estate in many of the Company's markets has slowed the growth of mortgage-related revenue.

Non-Interest Expense

Total non-interest expense for the third quarter of 2008 was $14.8 million, a decrease of approximately $408,000 from the same period in 2007. Salaries and benefits in the current quarter decreased approximately 4.4% to $7.1 million, when compared to the third quarter of 2007. This decline is primarily attributable to a reduction in incentive pay expense of approximately $1.3 million. Although the Company's previously announced workforce reduction was completed during the third quarter, the impact will not begin to be realized until the fourth quarter of 2008 due to its timing during the quarter and the related severance expense. Occupancy and equipment expense increased during the quarter to $1.9 million, an increase of 8.4% when compared to the same period in 2007. Additional offices, primarily in South Carolina and Jacksonville, Florida, are the primary reasons for the additional occupancy expenses.

Ameris Bancorp Announces Steps to Strengthen Balance Sheet and Operating Results

PRNewswire-FirstCall/ -- AMERIS BANCORP (NASDAQ: ABCB) , reported on September 17, 2008, that its board of directors and executive management team have taken steps to strengthen the Company's balance sheet and operating results during this period of economic uncertainty in the financial institution industry. These steps include the following:

-- Reduced quarterly dividend from $0.14 per share to $0.05 per share.

-- Pursued efficiency gains resulting in approximately a 10% reduction in our workforce.

-- Established new funding lines resulting in $270 million of additional borrowing capacity.

-- Reduced investment portfolio risk, leading to significant appreciation in market value of the investment portfolio with no exposure to common or preferred stock of Fannie Mae or Freddie Mac.

Commenting on the lower dividend, Edwin W. Hortman, Jr., President & Chief Executive Officer, said, "Although our capital levels are strong, we believe proactively managing capital through this economic downturn is critical. Our credit quality metrics remain manageable despite elevated credit costs. This move to temporarily reduce the quarterly dividend is a defensive move against a potentially prolonged period of uncertain economic activity. This action will strengthen our balance sheet and better position us to take advantage of opportunities in the future as our industry emerges from the current downturn." Other strategies to maintain and improve capital ratios include suspending the Company's announced stock buy-back and slowing the growth of assets. The reduced dividend combined with slower growth goals will add approximately 50 basis points to forecasted tangible capital ratios over a 12 month period. The announced dividend will be payable to shareholders of record on September 30, 2008.

Efficiency Gains

Efforts to reduce operating expenses and gain efficiencies continue and recently resulted in a reduction of approximately 65 positions. This reduction was completed in full on September 1, 2008 and is expected to produce annual savings of approximately $2.6 million before tax. Speaking about the reduction in force, Mr. Hortman commented, "These decisions to right-size our staffing levels have been very difficult, but necessary and our commitment to deliver exceptional customer service remains a top priority."

Strengthened Liquidity

Additional liquidity sources have been developed to provide for safety against various contingencies. These sources include lines with the Federal Reserve Bank and the Federal Home Loan Bank, as well as expanded lines of credit with commercial banks. These lines of credit total approximately $520 million, or 60% of non-CD deposits. Today, approximately $400 million is available under these lines. Also, aggressive deposit campaigns have been successful and continue to add liquidity to our balance sheet while maintaining acceptable net interest margins.

Quality Investment Portfolio

The Company's investment portfolio has been managed to contain very little credit risk. As such, the Company has no exposure to risks or devaluation associated with either the common or preferred stock of Fannie Mae or Freddie Mac or non-agency mortgage investments. Since the announcement of the government takeover of the GSEs, the Company's investment portfolio has increased in market value by approximately $5 million and management does not anticipate any non-cash charges for permanent impairment in the investment portfolio.

Ameris Bancorp Reports Net Income of $3.1 Million for Second Quarter of 2008

PRNewswire-FirstCall -- AMERIS BANCORP (NASDAQ:ABCB) , reported net income of $3.1 million, or $0.23 per share, for the quarter ended June 30, 2008, compared to net income for the same quarter in 2007 of $5.4 million, or $0.39 per share. Net income for the year-to-date period totaled $6.1 million, or $0.45 per share, compared to $10.4 million, or $0.76 per share for the same period in 2007. Continued weakness in general economic conditions in several of the Company's markets led to higher levels of loan provisions and negatively impacted the results for both the quarter and year-to-date period. Commenting on the quarter's results, Edwin W. Hortman, Jr. said, "Given the current operating environment, I am encouraged by our Company's performance. During the most recent quarter, we dealt quickly and aggressively with credit quality issues and recorded provisions at levels that should not persist. We continue to experience dilution from the investment in our De Novo strategy and expect profitability to improve significantly as we move forward. Lastly, despite four quarters in this difficult environment, Ameris Bank has protected its capital base and remains well capitalized with approximately $30 million of excess capital."

The Company's provision for loan losses during the second quarter amounted to $3.7 million, an increase of $2.8 million over the $936,000 recorded in the second quarter of 2007. Similarly, provision for loan losses for the year-to-date period increased $5.5 million to $6.9
million for the first six months of 2008 compared to 2007. The high levels of provision for loan losses reflect the Company's efforts to quickly address problem credits and are the result of very weak real estate conditions in a few of the Company's markets. As in previous quarters, the majority of the deterioration in credit quality is concentrated in a small number of larger credits. The Company continues to benefit from a loan portfolio that is well diversified over four states and various loan categories.

Non-performing assets increased slightly during the current quarter to 2.08% of total loans, compared to 2.00% for the first quarter of 2008, and 1.57% at December 31, 2007. Net charge-offs on loans during the second quarter of 2008 were similar to levels experienced during the first quarter of 2008 at 0.75% of total loans. The Company's reserve for loan losses at June 30, 2008 was flat compared to December 31, 2007, at 1.71% of total loans.

Trends in Net Interest Margin

In spite of drastically lower short-term rates and intense competition for core deposits, the Company's net interest margin declined only slightly during the second quarter of 2008 to 3.98%, compared to 4.03% in the same quarter in 2007. For the six-month period ending June 30, 2008, the Company's net interest margin was 3.95%, compared to 4.08% in the same period in 2007.

Loan yields during the quarter decreased to 6.97%, compared to 8.46% in the same quarter in 2007. In the most recent quarter, loan yields decreased from the 7.56% reported in the first quarter of 2008. This decline in the most recent quarter was partially attributed to accelerated renegotiation of interest rates in the Company's fixed rate loan portfolio as customers have opportunities to significantly reduce expenses or accelerate repayment of principal.

The Company's cost of funds during the current quarter was 2.72%, compared to 3.84% in the same quarter in 2007, and 3.30% in the first quarter of 2008. During the quarter, deposit costs declined to 2.78% from 3.68% in the same quarter in 2007 and from 3.25% in the first quarter of 2008. The decline against the linked quarter resulted from continued repricing of all deposit accounts but the majority of the savings resulted from material savings on time deposit maturities. Non-deposit borrowing costs also declined in the second quarter of 2008 to 2.10% from 5.81% in the second quarter of 2007 due to the Company's restructure of these borrowings and the use of interest rate floors on several of the advances. Efforts continue to reduce interest expense and are focused primarily on time deposit maturities and improving the Company's overall funding mix.

Operating Income and Operating Expense Trends

For the year-to-date period ending June 30, 2008, net interest income increased 1.6% to $37.5 million, when compared to net interest income for the year-to-date period ending June 30, 2007. Non-interest income increased 17.4% to $5.3 million during the second quarter of 2008, when compared to the same quarter in 2007. Continued growth in service charges and mortgage fees led to the increase in non-interest income. Service charges on deposit accounts increased 19.3% to $3.7 million in the current quarter, when compared to the second quarter of 2007. Income from mortgage loan activities also increased primarily as a result of hiring and training efforts during the last half of 2007. Mortgage income rose to $855,000, an increase of 6.9% over the second quarter of 2007. The Company's mortgage lending activities do not subject the Company to appreciably higher levels of risk, as all loans are closed with guaranteed takeouts and are underwritten by the purchaser.

Operating expense increased during the quarter by 16.6% to $16.0 million, when compared to the same quarter in 2007. Year to date, operating expenses increased to $31.6 million, an increase of 11.9% when compared to the same period in 2007. As stated in past quarters, increases in salaries and benefits as well as in occupancy and equipment are largely the result of the Company's expansion efforts. While meaningful accretion to profitability levels and earnings per share are not expected for the next several quarters, the Company does not foresee additional dilution to current profitability and earnings levels.
